Commercial License Agreement for AISongCreator

Introduction

This Commercial License Agreement ("Agreement") governs the use of content generated through AISongCreator's AI music and video generation services. By subscribing to our services and generating content, you agree to be bound by the terms of this Agreement.

License Grant

For Pro Subscribers

Upon purchasing a Pro subscription to AISongCreator, we grant you a non-exclusive, perpetual, worldwide license to use, reproduce, distribute, publicly perform, and create derivative works from the content generated during your active Pro subscription period ("Generated Content"), subject to the terms and conditions set forth in this Agreement.

For Free and Basic Users

Free users and Basic subscription users are granted a limited, non-exclusive license to use Generated Content for personal, non-commercial purposes only. Commercial use requires an active Pro subscription.

Scope of Licensed Rights

As a Pro subscriber, you are permitted to:

1. Commercial Use

   • Use Generated Content in commercial projects, including but not limited to films, advertisements, games, podcasts, and other media productions
   • Monetize content on platforms such as YouTube, TikTok, Spotify, Apple Music, and other streaming services
   • Sell or license Generated Content to third parties
   • Use Generated Content as background music or visuals for commercial venues

2. Distribution Rights

   • Distribute Generated Content across all media formats and channels
   • Upload to music and video streaming platforms
   • Include in physical and digital products for sale
   • Broadcast on television, radio, and online platforms

3. Modification Rights

   • Edit, remix, and create derivative works from Generated Content
   • Combine Generated Content with other audio or visual elements
   • Adapt Generated Content for different formats and uses

Content Ownership

• Your Input: You retain all rights to the text prompts, lyrics, and other input you provide to generate content
• Generated Content: You own the Generated Content created during your active subscription period
• Platform Rights: AISongCreator retains the right to use anonymized and aggregated data for improving our AI models

Usage Restrictions

You may NOT use Generated Content:

1. For any unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable purposes
2. To infringe upon the rights of others, including privacy, publicity, or intellectual property rights
3. To create content that promotes hatred, discrimination, or violence against individuals or groups
4. To impersonate any person or entity or falsely claim association with any person or entity
5. In violation of any applicable laws or regulations

Platform Representations

AISongCreator represents that:

• Our AI models are trained on properly licensed datasets
• Generated Content will not knowingly infringe on third-party intellectual property rights
• We maintain industry-standard security measures to protect your data and content

Disclaimer of Warranties

THE SERVICES AND GENERATED CONTENT ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AISONGCREATOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OUR SERVICES OR GENERATED CONTENT.

Indemnification

You agree to indemnify and hold harmless AISongCreator from any claims, damages, or expenses arising from your use of Generated Content or violation of this Agreement.

Subscription Terms

• Commercial license rights are granted only to Pro subscribers during active subscription periods
• Content generated during your Pro subscription remains licensed to you perpetually
• Basic and Free users must upgrade to Pro for commercial use rights
• Subscription cancellation does not affect rights to previously generated content
• Downgrading from Pro to Basic/Free restricts future commercial use of newly generated content

Termination

We reserve the right to terminate your license if you violate the terms of this Agreement. Upon termination, you must cease all use of Generated Content created after the termination date.

Governing Law

This Agreement shall be governed by the laws of the jurisdiction in which AISongCreator operates, without regard to conflict of law principles.

Changes to This Agreement

We may update this Agreement from time to time. Continued use of our services after changes constitutes acceptance of the modified terms.
